Terms of service
The agreement between you and the company that runs Worbita, covering what the service does, what you are responsible for, and how either of us can end it.
This is a draft. It describes what the product actually does, but it has not been reviewed by a lawyer and it is not final. Do not rely on it as a contract yet.

Who these terms are with
Worbita is operated by [PLACEHOLDER: registered legal entity name], at [PLACEHOLDER: registered business address]. "We" and "us" mean that company; "you" means the organization that holds the account and the people who use it.
These terms take effect on [PLACEHOLDER: effective date], or on the day you create an account, whichever is later.
What the service does
Worbita records work orders for your organization, routes each one to a vendor from your own directory, sends that vendor an email in your name, reads their replies back onto the work order, and keeps an append-only timeline of everything that happened.
Vendors do not have accounts. They receive email and a single-use link to one work order. We do not employ, vet, license, insure or supervise your vendors, and we are not a party to the work they do for you.
Your account
Account creation is by invitation. You are responsible for who you invite, for the roles you give them, and for what they do with those roles. Tell us promptly if you think a sign-in has been taken over.
An organization must always have at least one administrator. We refuse the change that would leave it with none, because there is no path back — every route that grants a seat is administrator-only.
Your records stay yours
The work orders, sites, vendor directory, files and messages in your account belong to you. We store and process them to run the service for you, and for nothing else. We do not sell them, and we do not use them to train anything.
You give us permission to send email in your organization's name to the vendors you have added, because that is the service. You are responsible for having a reason to contact those vendors.
What you may not do with it
Do not use Worbita to send unsolicited bulk email, to impersonate someone else, to upload anything unlawful, or to attempt to reach records belonging to another organization. Do not probe, scan or load-test the service without asking us first.
Public reporting through a printed QR label is off until you turn it on, and a public report becomes a queued request for one of your people to accept — never a work order on its own. You are responsible for what you do with the labels you print.
Availability, and what we do not promise
We do not offer an uptime commitment. Email delivery depends on networks and mail providers we do not control: we record every attempt, retry failures, and show you when a message could not be delivered, but we cannot guarantee that a vendor receives or reads anything.
Automatic escalation is a timer over what the record shows. It cannot know that a vendor answered by phone. Treat it as a prompt, not as proof.
The service is provided as it is, without warranties of any kind, to the extent the law allows.
Liability
To the extent the law allows, we are not liable for indirect or consequential loss, for lost profits, or for work a vendor did or did not do. Our total liability for any claim is limited to the fees you paid us in the twelve months before it arose.
Nothing here limits liability that cannot be limited by law.
Ending the agreement
You can ask us to delete your account, or an administrator can ask us to delete the whole organization, at any time from inside the product. Both carry a 30-day grace period: nothing is erased during it, and either request can be cancelled until it passes. After that the erasure is permanent and we cannot recover anything.
The two are not the same act. Deleting your account removes what identifies you and leaves the work orders you filed on the organization's record, credited to a deleted user; deleting the organization erases those work orders as well, for everybody in it. The privacy policy sets out both, item by item.
We may suspend or end an account that breaks these terms, or that is being used in a way that threatens the service or another customer. Where we reasonably can, we will say so first.
Changes to these terms
We will post a changed version here and, for a change that materially affects you, tell account administrators by email before it takes effect. Continuing to use the service after that date means you accept the change.
Governing law
These terms are governed by the law of [PLACEHOLDER: governing law and jurisdiction], and disputes belong to the courts there.
